Terms of Service

1. Services

TREDA Consulting LLC ("TREDA") provides AI strategy, fluency training, and organizational consulting services to small businesses. Specific services, scope, and deliverables for each engagement are defined in a signed Letter of Engagement executed between TREDA and the client.

2. Payment

Fees are payable according to the schedule in the applicable Letter of Engagement. TREDA accepts payment via invoice and through its online payment portal. Accepted payment methods include major credit and debit cards processed through Stripe. Late payments bear interest at 1.5% per month or the maximum rate permitted by law.

3. Intellectual Property

TREDA retains all rights to its methodologies, frameworks, training materials, and proprietary content. Upon full payment of all fees, clients own the specific deliverables created for their engagement, including strategic roadmaps, process maps, and proof-of-concept tools built specifically for their business.

4. Confidentiality

TREDA maintains the confidentiality of all client information shared during engagements. Clients agree to maintain the confidentiality of TREDA's proprietary methodologies and materials. Confidentiality obligations are further governed by any Mutual Non-Disclosure Agreement executed between the parties.

5. Independent Contractor

TREDA operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship between TREDA and any client.

6. Limitation of Liability

TREDA's total liability for any claim arising out of a consulting engagement shall not exceed the total fees paid by the client for that engagement. TREDA is not liable for indirect, incidental, or consequential damages of any kind.

7. No Guarantee of Results

TREDA's services are intended to build organizational capability and identify AI opportunities. Results depend on client participation, implementation, and factors outside TREDA's control. The Savings Baseline Guarantee described in individual Letters of Engagement represents TREDA's specific, limited guarantee and does not imply any broader warranty of business outcomes.

8. Governing Law

These Terms are governed by the laws of the State of Iowa, without regard to conflict of law principles.
